Status

Effective date: May 20, 2026.

These Terms apply to access and use of Tsumu. If you do not agree to these Terms, do not use the service.

Who operates Tsumu

Tsumu is operated by OniLink UG (haftungsbeschränkt), Nikopoler Str. 35, 01619 Zeithain, Germany.

Availability and market scope

Tsumu is not marketed to consumers habitually resident in Germany and is not intended as a German consumer-facing product.

German statutory notices are provided because the operator is currently established in Germany. Those notices do not mean that Tsumu targets, solicits, or markets to consumers habitually resident in Germany.

Tsumu may restrict, refuse, suspend, or end access, checkout, paid subscriptions, or billing features where a country, billing address, tax location, sanctions status, provider limitation, or legal requirement makes the service unavailable or unsupported.

The service

Tsumu is a project memory workspace for sources, notes, chats, AI-generated project context, decisions, follow-ups, helpful context, and project briefs.

The service is designed to help users preserve and inspect project context across AI-assisted work.

Tsumu is not a legal, medical, financial, employment, credit, insurance, tax, safety, emergency, or regulated professional advice service.

Projects, workspaces, and sources

Project limits are based on projects. Workspaces organize work inside projects and do not create separate project or source allowances.

Imported sources count toward each project limit. Sources in the active workspace may be prioritized for memory inside that same project, but Tsumu does not use sources from one project to influence memory in another project.

Accounts

You must provide accurate account information and keep your login credentials secure.

You are responsible for activity under your account unless the activity results from Tsumu's failure to apply reasonable security controls.

You must be at least 16 years old or the minimum age required by local law to use Tsumu without parental or guardian consent.

Creating an account requires confirming the minimum age requirement, agreeing to these Terms, and acknowledging the Privacy Policy.

Tsumu may record the timestamp and version of the signup legal acknowledgement in account metadata.

Your content

You keep ownership of the material you add to Tsumu.

You grant Tsumu the rights needed to host, store, copy, process, transform, display, transmit, and generate outputs from your content only to provide, secure, support, and improve the service.

You are responsible for ensuring that you have the rights and lawful basis needed to upload, paste, import, or process any material through Tsumu.

Do not upload, paste, import, or generate content containing personal data about other people unless you have their consent, are authorized by them, or have another lawful basis to process that data through Tsumu and its providers.

Do not upload content that violates law, infringes third-party rights, contains malware, exposes secrets, or includes data you are not allowed to process through hosted infrastructure or AI providers.

Customer content processing

Tsumu is controller for account, billing, support, security, usage, moderation, entitlement, and product-operation records.

For business customers, Tsumu is processor only for customer-uploaded workspace, source, notebook, and chat content to the extent the customer controls personal data inside that content and Tsumu processes it to provide the service.

The Data Processing Addendum applies to that processor content and is incorporated into these Terms where required for customer-controlled personal data.

You remain responsible for notices, permissions, lawful basis, and instructions for personal data you upload or process as customer content.

AI features

Tsumu uses AI systems to generate replies, summaries, AI-generated project context, helpful context, decisions, follow-ups, review items, topics, and references.

Chat messages are stored as chats. Where available, eligible AI memory features may also extract Tsumu-generated project memory, decisions, follow-ups, topics, or review items from chat so the conversation can feed project memory similarly to source import.

Pro may automatically process imported sources into project memory when plan limits and regular AI credits allow, but Pro does not include scheduled background memory runs or batch consolidation.

Studio and Max may include scheduled background memory runs, background chat-to-memory, and batch consolidation. When available, Tsumu may quietly revisit project sources or eligible chats and update derived project memory, topics, decisions, follow-ups, or review items so project context stays usable.

Autonomous background memory processing remains subject to plan limits, source limits, the separate background memory cap, provider availability, and service safeguards.

When you upgrade from Free to a paid plan, Tsumu may run limited automatic reprocessing or review of eligible existing sources and chats to unlock paid source-processing and project-memory features. User-triggered imports, chats, source updates, and manual reviews use regular AI credits when AI work is performed.

AI output may be wrong, incomplete, outdated, or misleading. You are responsible for reviewing important outputs, references, and source evidence before relying on them.

Do not use Tsumu AI output as the sole basis for decisions that could materially affect a person's legal rights, health, safety, employment, credit, insurance, housing, education, immigration status, public benefits, or similar high-stakes interests.

Tsumu may route AI requests to providers such as OpenAI and Anthropic. Provider availability, model behavior, latency, and errors are outside Tsumu's full control.

Tsumu does not intentionally opt customer workspace content into AI-provider model training, but provider-side retention for abuse monitoring, safety, security, support, legal, or operational purposes may apply under provider terms and active account settings.

Tsumu may run automated safety and moderation checks on user messages and generated assistant replies. These checks may log safety signals and may suppress bot generation for flagged input or required safety checks that fail or are unavailable.

Acceptable use

You may not use Tsumu to break the law, violate privacy rights, infringe intellectual property rights, harass or abuse others, distribute malware, attack systems, scrape the service, bypass limits, or interfere with other users.

You may not reverse engineer the service except where mandatory law allows it.

You may not use Tsumu to build, train, or operate systems for prohibited, deceptive, exploitative, or high-risk uses.

You may not attempt to bypass moderation, prompt-boundary, rate-limit, entitlement, billing, or security controls, including by adversarial prompts, persona prompts, prompt injection, or requests to reveal hidden instructions or secrets.

You may not attempt to extract other users' data or test security controls without written permission.

Beta changes and availability

Tsumu is still under development. Features may change, break, be limited, or be removed.

Tsumu may be unavailable during maintenance, deployment, security response, provider outage, migration work, or events outside reasonable control.

Tsumu may suspend or restrict access if needed to protect users, infrastructure, legal compliance, or service integrity.

Paid subscriptions

Tsumu offers a Free plan and monthly or yearly paid Pro, Studio, and Max plans. Monthly paid prices currently shown in the app are Pro ($20/month), Studio ($49/month), and Max ($99/month). Yearly paid prices currently shown in the app are Pro ($200/year), Studio ($490/year), and Max ($990/year), unless Stripe Checkout shows a different discounted or tax-adjusted amount before payment.

Paid subscriptions are purchased through Stripe Checkout. Payment is charged when Checkout is completed and then renews monthly or yearly based on the selected billing interval until cancelled, unless Checkout states different terms before payment.

Paid plan upgrades apply immediately after confirmation. Stripe calculates any prorated amount due based on the unused portion of the current billing period and the target plan price shown before confirmation.

Paid plan downgrades are scheduled for the next renewal date. Your current paid plan and limits remain active until that date, unless your subscription is cancelled, payment fails, or mandatory law requires a different outcome.

Switching from monthly to yearly for the same plan is treated as an immediate upgrade with prorated billing. Switching from yearly to monthly for the same plan is scheduled for the next renewal date unless Stripe Checkout or the Stripe Customer Portal states different terms before confirmation.

Plan limits, included features, source limits, project limits, AI credits, and background memory caps are shown on the Billing page and may be enforced through Tsumu entitlement checks.

Notebook pages can be saved on every plan. The Add to memory action for notebook pages is available subject to the current plan's project limit, source limit, source file-size limit, AI-credit balance where applicable, provider availability, and service safeguards.

Paid entitlements are determined from the Stripe price, subscription status, and billing state confirmed through Stripe Checkout, Stripe Customer Portal, or Stripe webhooks. If Stripe metadata, local records, or displayed plan records conflict, Tsumu may reconcile entitlements based on the Stripe price and billing status.

Clean project-memory export features are Max-only. Free, Pro, and Studio plans do not include portable memory copy, clean project-memory export, or TSUMU_CONTEXT.md download.

If an account is downgraded, cancelled, unpaid, or otherwise outside the limits of its current plan, Tsumu may pause paid-plan memory features without deleting original user content. Over-limit projects and sources may remain readable while AI memory actions, project memory use, chat-to-memory processing, memory refresh, source lookup, topic updates, manual memory creation, and clean project-memory exports are paused until the account returns within plan limits or upgrades.

Promotion codes may be accepted. Taxes, if applicable, are shown in Stripe Checkout or included as required by Stripe price and tax rules.

No free trial is currently included for paid plans unless Stripe Checkout expressly states one.

Tsumu does not store full payment card numbers. Stripe handles payment method collection and processing.

Stripe may process payment, fraud, risk, compliance, security, and legal-obligation data under its own legal terms and provider roles.

AI credit add-ons

Tsumu may sell one-time AI credit add-ons to users with an active paid subscription. These add-ons are separate one-time products, not subscription renewals.

Current add-on packages are 500 AI credits for $20, 1,000 AI credits for $40, 2,500 AI credits for $100, and 5,000 AI credits for $200, unless Stripe Checkout shows a different discounted or tax-adjusted amount before payment.

AI credits may be used for user-triggered supported AI-assisted actions such as chat replies, source imports, source updates, chat-to-memory processing, topic updates, review items, and manual memory work. Tsumu consumes monthly plan credits before add-on credits.

Autonomous Studio and Max background memory work is controlled by the separate background memory cap and is designed to pause at that cap instead of silently using add-on credits.

Tsumu may reserve estimated credits before a supported AI action starts and finalize credit use after actual usage is known. Unused reserved credits are released, and temporary reservations may reduce the available balance until they are released, finalized, or expired.

If final AI usage exceeds the available credit balance after generation starts, Tsumu may fail or decline to save the AI action instead of allowing the account to exceed its credit budget.

Add-on credits currently roll over until they are used or expire one year after grant. They have no cash value, are not transferable, and are not redeemable for money.

If an add-on payment is refunded, reversed, charged back, suspected of fraud, or granted in error, Tsumu may void or reduce the related AI credit grant.

Buying add-on credits does not guarantee uninterrupted AI provider availability, a specific model, or a specific number of outputs because credit use depends on source size, message context, chat-to-memory work, selected model or workflow, and amount of AI text processed.

Cancellation, refunds, and EU consumer rights

You can manage billing from the Billing page or the dedicated cancellation page. If a Stripe customer exists for your account, the Manage billing button and cancellation page can open Stripe Customer Portal for payment method updates, invoices, subscription management, and cancellation.

Recent invoices for paid subscriptions and AI credit add-ons are shown in the Billing page's Billing history section after Stripe creates them, including View and PDF links where Stripe provides them.

Invoices, receipts, and available payment history can also be viewed from Billing by opening Manage billing, which redirects to Stripe Customer Portal.

Cancellation takes effect according to the option confirmed in Stripe Customer Portal or by Tsumu support, such as cancellation at the end of the current billing period where available. Cancellation stops future renewals but does not automatically refund the current billing period.

Subscription fees and AI credit add-on fees are generally non-refundable once access or credits are delivered, except where required by mandatory law or where OniLink UG (haftungsbeschränkt) approves a refund.

OniLink UG (haftungsbeschränkt) may approve refunds for duplicate charges, billing errors, accidental purchases reported promptly, serious service failures, or other cases OniLink UG (haftungsbeschränkt) considers reasonable.

If an AI credit add-on is refunded, partially refunded, reversed, disputed, charged back, canceled, suspected of fraud, or granted in error, Tsumu may remove, void, or reduce the related AI credits, including proportionally for partial reversals.

If a chargeback or dispute is opened, Tsumu may reverse related purchased credits while the dispute is pending. If the dispute is later resolved in Tsumu's favor, any credit restoration is handled by manual support review unless Tsumu later automates that restoration or mandatory law requires a different result.

To request a refund or report a billing issue, contact support@tsumuapp.com from the email address linked to your account.

If payment fails, Stripe may retry payment, request an updated payment method, and report a past_due, unpaid, canceled, or similar subscription status. Tsumu may suspend, limit, or downgrade paid features when a subscription is not active or trialing.

EU/EEA consumers may have statutory withdrawal rights. Access to digital services during a withdrawal period does not limit mandatory rights unless a legally valid consent, acknowledgement, or exception applies.

Nothing in these Terms limits mandatory consumer rights that cannot be waived under applicable law.

Data export, deletion, and termination

Settings includes an account data export for signed-in users. The export is a JSON archive of account records, owned workspace and project records, sources and stored source text where available, notebook folders, chats and messages without AI-picked reference lists, support request records, billing records, AI credit records, usage records, account event records, performance logs, and moderation audit records tied to the account.

Tsumu-generated project memory is not included in the account export. This excludes generated project memory, including memory extracted from chats, project topics, AI-made memory details, generated decisions and follow-ups, review items, chat reference metadata generated from memory, and behind-the-scenes ranking and matching details.

Clean project brief and project-memory export features are separate Max AI-session handoffs and may be capped or summarized.

Account export, deletion, and reset controls are separate from paid clean project-memory export features. A plan downgrade may pause use or export of Tsumu-generated project memory without limiting access to the chats, imports/source files, and notebooks included in the account export.

You can delete workspace data through available product controls where those controls exist, including Settings controls for specific workspaces, projects, sources, chats, and Tsumu-generated project memory. Resetting Tsumu-generated project memory keeps chats, imports/source files, and notebooks.

For account-level deletion or unresolved deletion issues, contact support@tsumuapp.com from the email address connected to your account.

Tsumu may terminate or suspend access if you materially breach these Terms, create security risk, fail to pay for a paid subscription, or use the service unlawfully.

Confirmed deletion requests remove relevant data from active systems immediately. Supabase database backups may retain deleted data for up to 7 days before automatic expiry.

Support and contact tickets are kept as support history and process records unless deletion is requested, and Tsumu may keep minimal internal receipts for deletion, export, support, billing, security, and entitlement actions.

Billing, legal, security, audit, Stripe webhook, tax, accounting, and dispute records may be retained where needed for legal obligations, dispute handling, abuse prevention, entitlement reconciliation, or proof that a process was completed.

Third-party services

Tsumu relies on third-party providers including Supabase, Firebase/Google Cloud, Cloudflare Turnstile, OpenAI, Anthropic, Stripe, Resend, and Apple iCloud Mail for hosting, authentication, storage, bot and abuse prevention, AI generation, AI moderation and safety checks, subscription checkout, one-time AI credit add-on checkout, subscription billing, invoices, payment method handling, failed-payment handling, cancellation, customer portal access, authentication email, transactional account email, in-app support logging, and direct support/contact email.

Third-party services may have their own terms, privacy notices, availability constraints, and regional processing practices.

Third-party retention windows, data-use controls, and provider roles may differ by service and account setting, including AI API retention, email delivery logs, payment records, hosting logs, and fallback direct email.

Tsumu chooses providers with reasonable care, but cannot guarantee that every provider will be error-free or continuously available.

Tsumu intellectual property

Tsumu, its software, product design, user interface, branding, documentation, and service infrastructure are owned by Tsumu or its licensors.

These Terms do not grant you ownership of Tsumu intellectual property.

Feedback may be used to improve the service without owing compensation, but Tsumu will not claim ownership of your workspace content merely because you provide feedback.

Disclaimers

The service is provided on an as-is and as-available basis to the extent allowed by law.

Tsumu does not guarantee that the service will be uninterrupted, error-free, secure against every threat, or that AI outputs will be accurate or suitable for your purpose.

Mandatory statutory warranties and consumer rights remain unaffected where they cannot legally be excluded.

Liability

To the extent allowed by law, Tsumu is not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages, or for loss of data caused by user action, third-party provider failures, or events outside reasonable control.

Nothing in these Terms limits liability where limitation is not allowed by law, including liability for intentional misconduct, gross negligence where applicable, death or personal injury caused by negligence, or mandatory consumer rights.

Nothing in these Terms limits mandatory rights that cannot be waived.

Governing law and disputes

These Terms are governed by German law to the extent allowed by mandatory applicable law.

If you are an EU consumer, mandatory rights under the law of your country of residence may apply regardless of the governing law stated in these Terms.

Business-user dispute handling may be set out in separate written terms.

Changes

Tsumu may update these Terms as the product, providers, billing setup, or law changes.

Material changes should be communicated in the app or by email where legally required.

Continuing to use Tsumu after updated Terms take effect means you accept the updated Terms, except where separate consent is required by law.

The German statutory reference copy at /nutzungsbedingungen is provided because OniLink UG (haftungsbeschränkt) is established in Germany. If the English and German wording diverge, OniLink UG (haftungsbeschränkt) will resolve the conflict in line with mandatory applicable law and the user's statutory rights.
